Terms of use

These terms are an agreement between NPDesigned LLC ("we", "us") and the organization that installs or uses NPRecycle ("you"). By installing or using NPRecycle, you agree to them. If you're accepting on behalf of an organization, you confirm that you have authority to bind it.
You buy NPRecycle through the Atlassian Marketplace, under Atlassian's Marketplace terms. Those terms govern the purchase. These terms govern your use of NPRecycle. Our privacy policy and data processing addendum form part of these terms.
1. License
Subject to these terms and a valid subscription, we grant you a non-exclusive, non-transferable, non-sublicensable license to use NPRecycle on the Jira Cloud sites where it's installed, for your internal business purposes, during your subscription.
2. Restrictions
You won't:
- copy, modify, reverse engineer or create derivative works of NPRecycle, except where the law allows despite this restriction;
- resell, rent or provide NPRecycle to third parties as a service;
- use NPRecycle to break the law or infringe others' rights;
- interfere with NPRecycle's security or operation, or try to get around its licensing.
3. Fees
Fees are charged by Atlassian through the Atlassian Marketplace, according to your subscription tier. Atlassian handles billing, taxes, renewals and refunds under its Marketplace terms. When your subscription lapses, NPRecycle stops capturing changes and restores are disabled until it's renewed.
4. Your data
You keep all rights in your data. You grant us only the rights needed to provide NPRecycle to you. NPRecycle stores your data in Atlassian-hosted storage for your Jira site, and doesn't send it to us, as described in the privacy policy. You're responsible for your data and for having the right to use it with NPRecycle.
5. What NPRecycle does and doesn't do
NPRecycle is designed to restore deleted Jira work items. It isn't a backup or disaster-recovery service, and you remain responsible for your own backups. In particular:
- NPRecycle can only restore work items it captured. Anything deleted before it was installed, or while it wasn't licensed, can't be restored.
- A restored work item gets a new key. Comments, worklogs and attachments are re-posted by the app, with their original author and date noted.
- Fields that the project's configuration doesn't allow, statuses the workflow can't reach directly, and attachments over the per-file limit or removed to stay within the storage budget may not be restored. The restore report lists them.
- Deleted work items are kept only for the retention period your administrator sets, then removed permanently.
- NPRecycle works within storage and rate limits set by Atlassian. On very large sites, it may pause optional work, and tells you when it does.

7. Atlassian
NPRecycle runs on Atlassian's platform and depends on it. We're not responsible for outages, changes or limits of Atlassian's products, Forge platform or Marketplace. Atlassian isn't a party to these terms and isn't responsible for NPRecycle.
8. Changes to NPRecycle and these terms
We may improve or change NPRecycle over time. We may update these terms. If we do, we'll post the new version here with a new effective date, and notify customer contacts of significant changes. Continuing to use NPRecycle after the effective date means you accept the update.
9. Disclaimer
To the extent the law allows, NPRecycle is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that NPRecycle will be uninterrupted or error-free, or that every deleted work item or every field can be restored.
10. Limitation of liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility;
- our total liability arising from or relating to NPRecycle or these terms is limited to the amount you paid for NPRecycle in the 12 months before the event giving rise to the claim.
These limits don't apply where the law doesn't allow them to.
11. Term and termination
These terms apply while you use NPRecycle. You can stop at any time by uninstalling NPRecycle. We may suspend or end your access if you materially breach these terms and don't fix the breach within 30 days of our notice. When use ends, the license ends, and Atlassian deletes NPRecycle's stored data according to its retention policy for Forge-hosted storage. Sections 4, 7, 9, 10 and 12 survive termination.
12. General
These terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules, and disputes are subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas. If any part of these terms is unenforceable, the rest stays in effect. You may not assign these terms without our consent, except to a successor of your business. Failing to enforce a right isn't a waiver. These terms, with the privacy policy and data processing addendum, are the entire agreement about NPRecycle, and they override conflicting terms in any purchase order.
